Running it, start to finish
- List your assets, everyone who made them, and every third-party component.
- Chase the documents named in the obtain list while relationships are still good.
- Take the ranked gaps to a qualified lawyer to close properly.
What you get back
The output this produces, every time.
- Separates assigned from licensed from unclear, which is the distinction most ownership assumptions get wrong.
- Flags contractor work with no written assignment — the largest gap in most small businesses.
- Covers open-source obligations, stock licences and AI-generated material in the same pass.
Getting better results
Where this usually goes wrong, and how to avoid it.
- Name every contributor, including yourself. Work done before the company existed, or while employed elsewhere, is what diligence finds first.
- An invoice is not an assignment. Paying for work does not, by default, transfer ownership of it in many jurisdictions.
- Close the cheap gaps now. A confirmatory assignment from a friendly former contractor costs almost nothing. The same request during diligence costs leverage.
